Pranary Terms & Conditions

1. Scope of the Terms

1.1 Pranary, 16 Bow Bend Street, Cape Town, 7441, South Africa, provides online programmes, webinars, training, and social events for founders and organizations on its website Pranary.com (“Website”).

1.2 These terms (“Terms”) apply to all services provided by Pranary on its or through its Website (“Services”) to the person using the Services and who has accepted the Terms (hereafter referred to interchangeably as “User” or “Community member”) unless otherwise noted in the Terms. The User may access the current version of the Terms at any time on the Website and may print, download and/or save it.

2. Description of Services and Conclusion of Contract

2.1 (General) Pranary has established online programmes, which have been designed to help entrepreneurs with skills and knowledge to advance their businesses. Each Programme is scheduled for a fixed period of time, and paid for either monthly or upfront. The User can find a detailed service description of each Programme on the Website.

2.2 The User accepts the Offer once they have made payments by following a link sent to their email or provided on the website (“Acceptance”). Pranary notifies the User immediately that it has received his payment. Upon receiving the payment, Pranary enables the User to have access to the signed up Programme on the agreed upon Programme Start Date via email.

3. Registration

3.1 In order to use the Services, the User must register for membership on the Website (“Account”). Users will then receive an invite to set up their account details for their specific Programme on our Startup and Investor Platform “AcceleratorApp”. Users must provide accurate and complete information and keep the Account information updated. For Users who have not subscribed to a programme, information regarding events and opportunities will be shared via email and on the designated Facebook group.

3.2 The User is solely responsible for the activity that occurs on his Account. The User shall keep his login data (Username and password) confidential and prevent any unauthorised use by third parties. He or she shall immediately inform Pranary if there are indications that any third party is misusing his account.

3.3 The User may not use names or other personal data for his Account that could infringe the rights of any third party. Pranary may restrict, block, or delete an Account if the User has given false information during the registration or if the User violates applicable laws, regulation or these Terms. When choosing one of the aforementioned measures, Pranary will consider the impact of the false information, the legitimate interests of the User and the degree of responsibility.

3.4 The User may delete his Account at any time without providing a reason or notice, by sending an e-mail to start@pranary.com. Pranary advises the User that if he deletes his Account, any future programme material will not be available.

4. Payments and Billing Options

4.1 The course fees arise from the respective current price list at the time of conclusion of the contract, which is accessible on the Website at all times. The obligation to pay the course fee shall apply irrespective of whether the User uses the provided Services or not (without limiting the User’s warranty rights).

4.2 Pranary offers cashless payment by way of the payment methods as indicated on the Website. Pranary reserves the right to offer certain payment options to some Users and not to other Users.

4.3 Other events such as the social events that take place every Friday; and partner events such as Startup Grind Cape Town will be free to members. For further information or support you can contact start@pranary.com.

5. Contract Term, Refund Policy and Termination

5.1 The contract is entered into for the period booked by the User.

5.2 Pranary provides the User with a full refund if he/she requests to cancel the Programme within the first 14 days from the day of the Programme start date (the “Refund Period”),

5.3 The User may terminate the contract without reason at any time after the Programme begins. No refund will be made for past payments, but no future payments will be taken from the User.

5.4 The termination of this contract shall require a written notification (email to start@pranary.com) and shall become effective on the date of the receipt of such notification by the respective other party.

6. Right of Withdrawal

6.1 Right of Pranary to Withdraw Community members from Programme

We reserve the right to withdraw Community members from the programme at any point. Reasons for withdrawal include but are not limited to:

- Not attending programme sessions for more than a month

- Failure to meet financial obligations to Pranary;

- Violating our communications guidelines in exchanges with Pranary community members.

- Withdrawal of a Community member by Pranary will result in a prorated refund based on Community member’s remaining time on course if the Community member has paid in full.


6.2 Course Pauses

The Programmes follow a weekly schedule of webinars and events but are recorded to give participants the flexibility to work around their schedules. Time spent away from the course is the responsibility of the community member and will not increase overall Programme time. Courses cannot be paused or frozen during the Programme period. Community members are encouraged to let their Programme coordinator know in writing if they expect to be away for some part of the programme.


6.3 Course Cancellation

The User may cancel a Programme in which the User is enrolled at any time during the Contract period. If cancellation occurs within 14 days of the Programme start date, the User is entitled to a full refund.

Cancellations result in immediate loss of access to all Programme materials, and other services offered by Pranary from the date of receipt of the Cancellation.

In the event of re-enrolment after Cancellation, any discounts applied to the original enrolment will be void and the User must pay in full for the Programme at the Programme price effective at the time of re-enrolment.

7. Content from User

Pranary reserves the right to remove or disable access to any User Content at Pranary’ sole discretion, in case that it comes to Pranary’ attention that User Content violates third party rights, any applicable laws, regulations or these Terms. Pranary may take these actions without prior notification to the User.

8. Indemnification

The User agrees at his own expense, to indemnify, defend and hold inculpable Pranary and its related parties from all liabilities, claims, expenses and losses of any kind (including reasonable attorneys fees and costs) arising from or related to the User’s use or misuse of, or access to the Services, content, or otherwise from User Content, violation of these Terms, or infringement by the User, or any third party using his Account or identity in the Services, of any intellectual property or other right of any person or entity. Pranary reserves the right to assume the exclusive defence and control of any matter subject to indemnification by the User, in which case the User will assist and cooperate with Pranary in asserting any available defences.

9. Warranties

Pranary cannot warrant that the Programmes and the Website are always accessible. However it will eliminate any technical malfunction in reasonable time.

10. Changes in the Terms of Services

Pranary reserves the right to modify or replace any of these Terms at any time under the following conditions (“Reservation of Changes”). Pranary will notify the User on the respective amendments at least two weeks before the change comes into force via e-mail or in writing.

11. Miscellaneous

11.1 If the User is a merchant, a body corporate organised under public law or a special fund under public law, place of performance and place of exclusive jurisdiction shall be Cape Town, South Africa.

If the User moves his domicile or his permanent place of residence after entering into the contract or if his domicile or his habitual residence is not known at the time of filing an action, the place of jurisdiction is Cape Town, South Africa.

11.2 The contract language is English.

12. Communications Policy

Pranary communications policy, forbids:

- Use of inappropriate, vulgar, offensive, or hateful language;

- Hostility toward another member of the community, including threats, abuse, or harassment;

Insults of any kind, including those related to gender, religion, race, ethnicity, political beliefs, sexual orientation, and physical or mental health;

- Commercial activity such as buying and selling;

- Propagation of unlawful behaviour.


Users who violate the Communications Policy may be withdrawn from their Programme
